List five (5) exceptions to the general principle that an agent cannot delegate the authority given to him by his principal.

In summary,

 

  1. Where the principal approves to the delegation of authority. S.145 'Representation of principal by sub-agent properly appointed'.
  2. Where it is presumed from the conduct of the parties that the agent shall have the authority to delegate.
  3. Where customs or practice allows delegation
  4. Where delegation is necessary to complete the business
  5. Delegation is purely ministerial/clerical
  6. In case of an unforeseen emergency/necessity
